I wrote a quick overview of <a href="https://www.thelynxinvestor.com/p/a-penny-saved-is-two-pence-clear">mutual savings conversions</a> and listed out some interesting names in previous articles.</em></p><p>Today&#8217;s mutual savings bank is run by a local, veteran commercial banker. He sold his previous bank at 1.27x TBV in 2018 after growing it for two decades and seems to be going for seconds.</p><p>The bank is growing rapidly and still has significant excess capital to deploy. At this rate, it could be quite profitable soon.</p><p>If you&#8217;d like to add a little bit of spice to your mutual savings portfolio, this one may be for you. The bank completed its mutual-to-stock conversion just 9 months ago and raised enough cash to almost double its equity.</p><p>It has been busy putting that extra capital to grow.</p><p>The loan portfolio has been growing at a 10% annual rate since the conversion. Growth has been driven by the commercial loan portfolio, and half of loans are construction or commercial real estate (CRE) loans.</p><p>Normally, I&#8217;d be nervous about a bank growing rapidly in commercial real estate. And to be frank, I am still somewhat nervous here.</p><p>However, I am reassured by the combination of deep local expertise and strong alignment of interests with shareholders.</p><p>CEO Walter Healy has been a commercial banker in the Chicago area since 1988, including a two-decade tenure at Community Bank of Oak Park River Forest. There he was a founding member and EVP. He was later promoted to CEO and led the bank through the 2008-2010 financial crisis and to its ultimate sale in 2018.</p><p>In other words, CEO Healy has spent close to 40 years successfully lending money to companies in a narrow geographical area. He&#8217;s seen booms and busts and steered small banks through it all.</p><p>I can only imagine the sort of local knowledge and relationships that kind of experience helps one develop.</p><p>At the same time, he and his team have also been buying stock hand over fist in the open market. Almost $1M since the conversion took place. Management owns 11% of the company.</p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:null}" data-component-name="ButtonCreateButton"><a class="button primary" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><h2>The Value</h2><p>HYNE is trading at 0.80x its tangible book value at the time of this writing. </p><p>This means we&#8217;d expect a larger bank to pay at least 20% more than the current $16.22 share price to acquire the bank today.</p><p>Furthermore, the roughly $160M in non-interest-bearing deposits and current growth trajectory mean the bank would probably fetch a higher multiple. </p><h2>The Catalyst</h2><p>The M&amp;A window is 27 months away, but the buyback window is only 3 months away. The bank has over $100M &#8212; almost the entire market cap &#8212; in cash and liquid securities available for buybacks. </p><p>FJ Capital, a mutual savings specialist bank, owns 3.2% of the shares. I don&#8217;t think management will need any encouraging, but it is always good to have an activist fund involved to make sure the buybacks get going.</p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:null}" data-component-name="ButtonCreateButton"><a class="button primary" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><h2>The Risks</h2><p>The far-and-away number one risk is the large and growing construction and commercial real estate portfolio. This is a notoriously cyclical sector that could get ugly quickly.</p><p>Without a boots-on-the-ground investigation, it isn&#8217;t possible to get a sense for any concentration across loan types (e.g. retail, industrial, office space), neighborhoods, individual counterparties, etc. The same goes for general loan requirements and covenants. (e.g., requiring a level of contracted occupancy to qualify for CRE loans). </p><p>We would be trusting management&#8217;s track record and incentive alignment as a sign that lending will be responsible, despite the current fast growth.</p><p>It also may be a good time to invest in commercial real estate in Chicago. The post-COVID shift to hybrid work caused many projects and loans to fail and some properties are available at fire sale prices. A discerning local investor &#8212; or banker &#8212; may find exceptional opportunities in this environment.</p><h2>The Verdict</h2><p>I have owned HYNE since Q1 2026. My plan is to hold my position until I get into long-term gains tax territory in Q2 2027 and then exit.</p><p>I expect buybacks will start as soon as they are allowed in December 2026. This will probably push the share price closer to 1.0x TBV by then.</p><p>I may exit sooner if I see signs of credit deterioration or if I find something much more compelling between now and then. These have a relatively limited upside but are generally very safe and simple to understand.</p><p>Today we take a break from that series to dive into an example of a more complicated &#8212; and more exciting &#8212; &#8216;class&#8217; of opportunities: <strong>quality microcaps</strong>. </p><p>&#8216;Quality&#8217; companies share the following traits:</p><ol><li><p>They have outstanding business economics.</p></li><li><p>They have a strong balance sheet with little or no debt.</p></li><li><p>They have one or more strong competitive advantages.</p></li><li><p>They are not at risk of becoming obsolete or going out of fashion.</p></li><li><p>They are growing and have a long runway ahead of them.</p></li><li><p>They are run by managers with talent and integrity that are also owners.</p></li></ol><p>These are the kind of companies we want to buy and hold &#8212; ideally forever.  </p><p>The trouble with these companies is that because everybody loves them, they tend to trade at very expensive prices.</p><p>&#8216;Quality microcap&#8217; companies share all the traits above, plus: </p><ol start="7"><li><p>They are very small &#8212; typically under $100M in market capitalization. And because management owns a chunk of the company, the volume available to investors (<em>float</em>) is even smaller.</p></li></ol><p>Large institutional investors simply can&#8217;t play in this field. They could never deploy enough money into these companies to move the needle. Oftentimes they are downright prohibited by their investors from investing into companies that small.</p><p>And because of this, once in a while we are able to find an example that also possesses an elusive eighth trait:</p><ol start="8"><li><p>They are available at an attractive price.</p></li></ol><p>Which brings us to today&#8217;s opportunity.</p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:null}" data-component-name="ButtonCreateButton"><a class="button primary" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><h2>The Business</h2><p>Shin Maint Holdings Co (TSE: 6086) is Japan&#8217;s #1 outsourced facility-maintenance network. They connect corporate multi-site chains &#8212; mostly restaurants but growing into retail/nursing-care/hotels &#8212; to a vetted network of 10,000+ independent local maintenance contractors. 90% of their business is 24/7/365 emergency repair services, with the rest coming from scheduled preventative maintenance.</p><p>This business has some wonderful attributes:</p><h4>It is a cash machine</h4><p>Some companies make a lot of money on paper but are required to reinvest most of their profits just to &#8216;replenish their stock&#8217; (maintain facilities, purchase inventory, etc.). </p><p>This means that $1 in net income translates into well below $1 in free cashflow<em> </em>for the owners. Free cashflow is what pays the dividends, buys back shares, funds growth, finances accretive acquisitions, etc.</p><p>For Shin Maint, $1 in net income translates into over $1 in free cash flow. </p><p>This is because the business can grow with almost no need for additional capital investment. Shin Maint also gets paid first and pays the contractors later, so it can actually operate with negative capital.</p><h4>It has a fortress balance sheet</h4><p>All that cash generation has allowed Shin Maint to operate without debt and to build a pile of cash equal to 25% of its market capitalization. This gives them a lot of staying power and optionality in a crisis.</p><h4>It has a strong competitive advantage</h4><p>Shin Maint business benefits from what is known as <em>network effects.</em> Every new customer Shin Maint wins adds more value to its contractor partners &#8212; more demand for their business &#8212; and every new contractor Shin Maint signs up adds more value to its existing customers &#8212; better response times and broader service-type coverage.</p><p>When a business like this gets going, it&#8217;s hard for competitors to catch up. In this case, there are only a few competitors remotely close to Shin Maint in terms of network size, and Shin Maint is about to merge with the second largest (more on this below).</p><p>The main threat left is large customers taking their business in-house. While this may turn out to be the case for some customers, generally it is not worth it for customers to set up and manage their own in-house maintenance teams, as long as Shin Maint doesn&#8217;t overdo it with their pricing.</p><h4>It provides mission-critical services</h4><p>90% of Shin Maint&#8217;s revenue comes from emergency repair services. Shin Maint&#8217;s clients simply can&#8217;t operate if their equipment isn&#8217;t working.</p><h4>It is growing and has a long runway ahead of it</h4><p>Shin Maint has grown revenue at a 15% annual rate and net income at more than a 20% annual rate over the past 8 years. And yet, it only has a 6% share of its target market.</p><p>The Japanese maintenance market is very fragmented, and Shin Maint is well positioned to continue taking share through both organic and inorganic growth.</p><h4>It has talented and aligned management</h4><p>Shin Maint was founded by Hideo Naito, who remains the Chairman and President. Between Hideo and his son Tsuyoshi, who is the designated successor and an EVP, the Naito family owns 31.6% of the company.</p><p>The Naitos have not only grown the company into its current dominant position but have also embraced returning capital to shareholders. They have done this through a consistently growing dividend as well as opportunistic buybacks.</p><h2>The Value</h2><blockquote><p><em>Price is what you pay, value is what you get. &#8212; Warren Buffet</em></p></blockquote><p>When thinking about the value of a quality business, I like to think in terms of <em>owner earnings</em>.</p><p>&#8216;Owner earnings&#8217; is not an accounting term with a clear-cut definition. It means the actual cash an owner could take out of the business without hurting its operations &#8212; i.e., after taking care of any necessary maintenance, buying inventory, etc.</p><p>At the time of this writing, I estimate we can buy Shin Maint for about 10x its owner earnings. This means that even if the business didn&#8217;t grow at all, we could get all of our money back in ten years and still own the business.</p><p>While that price wouldn&#8217;t be bad for a stable business with a strong competitive advantage, for one that is also growing earnings at a 20% CAGR, it looks like an exceptional bargain.</p><h2>The Merger</h2><p>As I mentioned above, Shin Maint is merging with the #2 scaled outsourced facility-maintenance network company in Japan. </p><p>The company is called <strong>Sanki Services</strong>. Sanki is Panasonic Group's designated maintenance provider for large commercial air conditioning and absorption chiller/heat-pump equipment. They also service other OEMs like Daikin, Mitsubishi Electric, etc.</p><p>Sanki is also a family business. The Nakajima family owns 34% of the shares. The founder, Yoshikane Nakajima, remains the chairman. Back in 2020, he handed over the role of President and most day-to-day responsibilites to Tatsuo Kitagoe, a company veteran. </p><p>Sanki services is a pretty solid business in its own right and has greatly improved since Tatsuo Kitagoe took the reins. Revenue has grown at 16% CAGR and net income at an impressive 37% CAGR over the past 5 years (12% and 35% over the past 2 years).</p><p>Sanki runs a hybrid model. Their 2,900-partner network works similarly to Shin Maint&#8217;s and is responsible for half of their revenue, while their in-house technician workforce is responsible for the rest. </p><p>This partially-fixed cost base makes them more vulnerable than Shin Maint to slowdowns in the economy. For example, it took them over two years to regain their footing after the 2020 COVID crisis, while Shin Maint rebounded strongly in 2021 despite its high exposure to the restaurant industry. </p><p>Sanki also benefits less from the negative working capital than Shin Maint does from getting paid first and paying their contractors later.</p><p>These relative disadvantages show up in the bottom line. While Sanki has a strong and improving ROCE (18.6% last year), it is still lower than the 20-30% ROCE Shin Maint has maintained for the last decade.</p><p>Shin Maint and Sanki are performing a &#8216;merger of equals&#8217; whereby Sanki shareholders will own about a third of the combined company while Shin Maint shareholders will own the other two thirds.</p><p>From a management standpoint, Sanki&#8217;s founder and Chairman will become the Chairman for the combined company, while Shin Maint&#8217;s founder, President and Chairman will become the President.</p><p>The merger doesn&#8217;t change the price we are paying, since Sanki is trading at a similar price-to-earnings ratio as Shin Maint.</p><p>In terms of the value we are getting, I like Sanki less than I like Shin Maint on a standalone basis, but I think strategically the merger seems smart and the value of the whole should be greater than the sum of the parts.</p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:null}" data-component-name="ButtonCreateButton"><a class="button primary" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><h2>The Risks</h2><p>I have painted a pretty rosy picture so far. Time to look into what could go wrong.</p><h4>They could pursue value-destructive M&amp;A</h4><p>In their merger presentation, the companies stated that they intend to continue growing through acquisitions, at home and abroad. </p><p>Given the current state of the Japanese maintenance market, this could be a very smart way to expand their lead and become dominant in other verticals.</p><p>However, there is always the risk that they will overpay or expand into businesses or geographies they don&#8217;t really understand. This is something any investor should watch closely.</p><h4>They could abandon shareholder-friendly capital return strategies</h4><p>Shin Maint&#8217;s management has been pretty forthcoming with dividends and buybacks. 70% of net income over the past 5 years has been returned to shareholders.</p><p>Sanki&#8217;s track record is worse. The dividend has been steadily rising, but the payout ratio (percent of earnings paid out as dividends) is only 20%. They have never bought back any shares.</p><p>If Sanki&#8217;s management ends up on top after the leadership transition, there is no guarantee that capital returns will continue at Shin Maint&#8217;s historical levels. </p><h4>The leadership transition could turn ugly</h4><p>We are going from a family-led business to a two-family-led business where the two patriarch founders are 82 and 71. Leadership transitions in family businesses can be tricky, and in this case, we have not only one, but two families involved.</p><p>There are no young Nakajima in management. The most likely case is that the Naito family eventually holds the chairmanship, and professional management runs the day-to-day. Still, you never know&#8230;</p><h4>They could lose a key customer</h4><p>There is moderate customer concentration. Skylark will account for 18% of combined revenues and Lawson for ~5%. Skylar has its own in-house maintenance team too. While the relationship seems strong and goes back many years, there is a scenario where a significant percent of revenue is suddenly lost.</p><p>A different version of this would be for Sanki to lose Panasonic&#8217;s designated maintenance provider status. This also seems unlikely.</p><p>I wouldn&#8217;t expect either occurrence to be more than a temporary setback though. </p><h4>There could be adverse price action after the merger</h4><p>Some Sanki shareholders not interested in owning the combined company may dump their stock after the merger, which could depress share prices. This is always a possibility after a merger.</p><p>Given how similar the two companies are, this seems unlikely here. And besides, this should only be a temporary dislocation &#8212; and possibly an opportunity to buy more.</p><h4>Labor laws could hinder their business model </h4><p>Any regulation that greatly increases the obligations of a company like Shin Maint towards its contractors could hurt the economics of the business. You may be familiar with recent instances in New York and California.</p><p>Japan passed a &#8216;Freelance Act&#8217; in 2024. However, it only covers individuals with no employees, and the protections it grants are reasonable.</p><h4>Last but not least, I don&#8217;t speak Japanese</h4><p>I have compiled over 100 pages of research into Shin Maint, Sanki, their competitors, etc. And yet, other than the financials, I haven&#8217;t been able to read any of the original, primary-source documents myself because I don&#8217;t speak Japanese.</p><p>Instead, I have had to rely on AI to read documents for me, summarize, and answer questions about them. I wrote a quick overview of <a href="https://www.thelynxinvestor.com/p/a-penny-saved-is-two-pence-clear">mutual savings conversions</a> and listed out some interesting names in previous articles.</em></p><p>Today we get a chance to invest in a mutual savings conversion at its post-conversion price. </p><p>This means we get to participate in all the upside from here. </p><p>It also means we may need to wait a few years to receive it.</p><p>This is a simple setup. Let&#8217;s take a quick look at the key factors.</p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:null}" data-component-name="ButtonCreateButton"><a class="button primary" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><h2><strong>The Business</strong></h2><p>Community Savings Bank (CSBA) was founded in 1889 as Bethel Building &amp; Loan in Bethel, Ohio. It assumed its current name in 2010 and converted to a stock-owned community bank on July 30th, 2026.</p><p>The balance sheet is as rock solid as you&#8217;d expect. The equity/asset ratio is 17.5%. Credit losses are negligible.</p><p>The bank makes a small profit despite its cash-heavy balance sheet. ROE is 3.35% after stripping out the excess cash &#8212; and trending in the right direction.</p><p>As is typical in these situations, management owns 14.5% of the bank and is therefore incentivized to be a good steward of shareholders&#8217; capital. </p><p>It also has a decent record of value creation, or more precisely of lack of value destruction, which is generally what we are looking for here.</p><h2><strong>The Value</strong></h2><p>Valuation is the highlight of this opportunity. CSBA trades at 0.68x its tangible book value.</p><p>This means we&#8217;d expect a larger bank to pay about 50% more than the current $12.65/share to acquire CSBA.</p><p>This will take a while though.</p><h2><strong>The Catalyst</strong></h2><p>The catalyst is some way away.</p><p><strong>Its M&amp;A window opens in 36 months</strong><span>. It just converted into a mutual savings company less than two weeks ago. Even though there is a very likely acquirer in the area, mutual savings post-conversion rules mean a sale cannot occur for another three years.</span></p><p><strong>There aren&#8217;t any confirmed activists involved</strong><span>. They may be buying as we speak, but there is no way to know until they file one of the few forms that let us know they are here.</span></p><p><strong>Even if it wanted to, management is not allowed to buy back shares</strong><span> </span><strong><span>for another year</span></strong><span>. This is a standard restriction for mutual savings conversions.</span></p><p>In other words, there is no guarantee there will be any share price re-rating any time soon.</p><h2><strong>The Risks</strong></h2><p><strong>Interest rates could go up</strong>. This would make the mortgage portfolio less valuable, and mortgages account for about 40% of CSB&#8217;s portfolio.</p><p><strong>The acquired portfolio could underperform.</strong> 18.7% of loans are purchased unsecured consumer loans and 4.7% are purchased C&amp;I (commercial and industrial) loans. The originator is BHG financial. This is a non-bank originator that has been around for 25 years and has done business with 1,000+ small banks, not a fly-by-night. The performance of the acquired portfolio is nevertheless still untested, and unsecured personal loans are a riskier credit class than single-family mortgages.</p><p><strong>Management hasn&#8217;t shown its hand. </strong>Insider purchases, acquisitive behavior, attitude towards buybacks, engagement with activists&#8230; None of these signals can be observed yet.  </p><p>Because it&#8217;s so early in the post-conversion journey, we don&#8217;t have many clues regarding management&#8217;s future behavior. Will it help or hinder us?</p><h2><strong>The Verdict</strong></h2><p>If we have to wait for four years to get paid and nothing goes terribly wrong in the interim, given the positive ROE and assuming no buybacks, we&#8217;d be looking at a 12-14% IRR (internal rate of return).</p><p>I know it feels like everyone and their cousin is making 20% returns these days, but 12-14% IRR with very low risk is attractive.</p><p>In many ways, this is similar to the <a href="https://www.thelynxinvestor.com/p/a-catalyst-for-returns">Catalyst Bancorp</a> opportunity, except that in this case, you get a weaker ROE in exchange for a more attractive valuation. I wrote a quick overview of <a href="https://www.thelynxinvestor.com/p/a-penny-saved-is-two-pence-clear">mutual savings conversions</a> and listed out some interesting names in previous articles.</em></p><p class="button-wrapper" data-attrs="{&quot;url&quot;:&quot;https://www.thelynxinvestor.com/subscribe?&quot;,&quot;text&quot;:&quot;Subscribe now&quot;,&quot;action&quot;:null,&quot;class&quot;:&quot;button-wrapper&quot;}" data-component-name="ButtonCreateButton"><a class="button primary button-wrapper" href="https://www.thelynxinvestor.com/subscribe?"><span>Subscribe now</span></a></p><p>The classic mutual savings conversion is cheap and durable but not very profitable.</p><p>It eventually gets acquired by a larger bank that can eliminate redundant costs and achieve more attractive returns on its assets.</p><p>Today&#8217;s bank is not only cheap and durable but also becoming increasingly profitable.</p><p>While it trades at 0.98x of its <em>tangible book value</em> (TBV), its quality should command a premium. Valuing a bank is not an exact science, but it wouldn&#8217;t be unreasonable for this bank to get acquired at a 15% premium to book value (1.15x TBV).</p><h2>The Business</h2><p>Catalyst Bancorp (CLST) is the holding company for Catalyst Bank. Formerly known as St. Landry Homestead, Catalyst has been serving South Louisiana for over a hundred years.</p><p>Until recently, Catalyst was a more-or-less straigthforward mutual savings conversion investment candidate. It was trading at 0.77x TPV and looked pretty strong across the board.</p><p>Then it acquired neighboring Lakeside Bank for $41M last month. This transformed it from a super-safe but somewhat innefficient small bank into a bank with less excess cash but a much higher profitability potential.</p><p>Whether this opportunity works great or just okay will come down to how much more efficiently the now larger bank can operate, and how fast it can get there.</p><p>If management reaches its <em>efficiency ratio</em> (overhead divided by revenue) goal, the combined entity will achieve close to 12.5% <em>return on equity</em> (dollars of profit per dollar of book value) within a couple of years.</p><p>This is after removing almost $19M in excess capital (~28% of the market cap), which could be returned to shareholders.</p><p>Needless to say, if we are going to deploy capital here, we need to be very comfortable with management&#8217;s ability to execute on integrating Lakeside into Catalyst.</p><p>Management&#8217;s track record gives me some comfort. CEO Joseph B Zanco has previous experience acquiring and integrating banks as CFO of Home Bancorp.</p><p>He was there between 2008 and 2020. Over his tenure, he grew TBV per share at an average rate of 5.8%, with double-digit TBV step-ups on the second year after each of the two acquisitions the bank made during this time.</p><p>By the way, Home Bancorp has continued making acquisitions since he left (last one in 2022) and is one of several potential acquirers for Catalyst.</p><p>Management also collectively owns 20% of the company, and has been buying more shares in the open market over the years. Their interests should be aligned with those of minority shareholders like us.</p><h2>The Catalyst</h2><p>If <a href="https://www.thelynxinvestor.com/i/208618537/the-business">last week&#8217;s bank</a> passed this test with shining colors, Catalyst is easily at the top of the class.</p><p><strong>Its M&amp;A window is already open</strong>. While management seems more focused in increasing the value of the bank than in shopping it, an offer could arrive any day.</p><p><strong>There is an activist involved</strong>. Stillwell, a well-known mutual savings conversions specialist, owns 6.4% of shares. Its influence will be helpful in unlocking value for shareholders.</p><p><strong>It is actively buying back shares</strong> (~6.5% of shares bought back over the past 12 months). I explained why buybacks below intrinsic value are a good thing in <a href="https://www.thelynxinvestor.com/i/208618537/the-catalyst">a previous article</a>.</p><p>I get the feeling management had a plan when they renamed the bank &#8216;Catalyst&#8217; after its conversion.</p><h2>The Risks</h2><blockquote><p><em>&#8220;Risk comes from not knowing what you are doing&#8221;</em> <em>&#8212; Warren Buffet</em></p></blockquote><p>Catalyst&#8217;s setup is complicated by their recent acquisition of Lakeside Bank. This creates more opportunities for being wrong.</p><p><strong>I could be wrong about the premium.</strong> Our entire margin of safety here comes from my assessment of the premium to book value an acquirer is likely to pay for CLST. </p><p>This is based on current market valuations for other small banks and recent transactions in the area, but it is only an estimate. </p><p><strong>Interest rates could go up</strong>. This would make the mortgage portfolio less valuable. It is less of a concern here since shorter-term commercial loans make up a large chunk of CLST&#8217;s portfolio.</p><p><strong>The acquisition could drag out</strong>. The M&amp;A window has been open for roughly two years, which could point to a lack of interest to sell. </p><p>Stillwell&#8217;s involvement is a risk mitigant here. Also, this would give more time for synergies and buybacks to work their magic. Owning a safe bank earning a 12.5% ROE is not a bad prospect.</p><p><strong>Integrating Lakeside Bank could go poorly</strong>. It wouldn&#8217;t be the first time a mutual savings bank&#8217;s cost structure becomes bloated after an acquisition. CEO Zanco&#8217;s track record is the mitigating factor here.</p><p><strong>Credit risk losses</strong> from the growing commercial loan book could rise.</p><p>CLST&#8217;s loan book used to be 50% commercial / 50% mortgage-based before the acquisition. Lakeside ran an even higher commercial concentration at 70%.</p><p>This can be a source of concern as commercial loan portfolios, especially commercial real state loans, have a way of blowing up on small banks.</p><p>However, both banks have been running a high commercial loan concentration for a long time and seem to know what they are doing. </p><p><strong>What about natural disasters?</strong> Catalyst Bancorp is headquartered just 150 miles from Fifth District Bancorp. If you read last week&#8217;s article, you may be thinking that we have failed at diversification. However, natural disasters are less of a concern here since it&#8217;s further inland and not in a high-flood risk area.</p><h2>The Verdict</h2><blockquote><p><em><span>&#8220;I would argue that </span>one<span> filter that's useful in </span>investing<span> is the simple idea of opportunity cost.&#8221; &#8212; Charlie Munger</span></em></p></blockquote><p>When I make investment decisions, I look for situations with very limited downside and material upside.  And even then, I need to compare the opportunity at hand with all other opportunties available (within reason).</p><p>CLST is almost there for me.  But given the merger integration risks, I would like to see a margin of safety of more than 15% before parting with my hard-earned money. Otherwise, I believe I should be able to find an even better opportunity elsewhere.</p><p>This is a very personal assessment to make. For instance, if mutual savings banks are the only types of companies you feel comfortable researching and investing in, then Catalyst could be a very solid addition to your portfolio.</p><p>I will nevertheless keep watching and consider buying in the future if the price point drifts down, especially if synergies seem to be materializing. While not a perfect cinch, this mutual savings conversion checks most of my boxes. I even like the town it serves.</p><p>Let&#8217;s take a look.</p><h2>The Business</h2><p>Fifth District Bancorp (FDSB) is the holding company for Fifth District Savings Bank, a federally-chartered savings bank that conducts its business from its main office and six branch offices located in the Greater New Orleans area.</p><p>FDSB fits the &#8220;boring&#8217;&#8221; mutual savings stereotype to a tee. Its portfolio is full of conservative mortgages (83% of loans), and credit losses are virtually non-existent. Home prices have been holding up well in the neighborhoods it serves.</p><p>It is vastly overcapitalized, with an equity/risk-weighted assets ratio of ~40%. 10% would be considered solid. This means it can absorb a lot of losses before getting in trouble.</p><p>It has a decent <em>net interest margin</em> (the difference between interest earned on loans and interest paid on deposits) and manages to earn a modest profit despite its lack of scale.</p><p>The CEO, Amie L. Lyons, is a Fifth District Savings Bank veteran of almost 30 years. She was recently promoted with no previous CEO experience. </p><p>I like CEOs of mutual savings banks I invest in to have a successful track record leading small banks, so this is not ideal. But it is not a red flag either.</p><p>All officers and directors have been at Fifth District for at least 10 years and achieved a ~2.4% book value CAGR (annual growth rate) since 2010.</p><p>Not the stuff of legend, but we are not looking for the next NVIDIA here.</p><p>Lastly, management owns ~19% of the company. This is important, as they are less likely to burn the bank&#8217;s capital making poor investments if their own money is on the line.</p><p>In short, the bank looks unimpressive but solid.</p><h2>The Value</h2><p>As of this writing, FDSB trades at 0.72x tangible book value.</p><p>This means we&#8217;d expect a larger bank to pay at least 35% more than the current $17.64/share to acquire FDSB, and possibly a good deal more.</p><p>Now how do we get our hands on the money?</p><h2>The Catalyst</h2><p>This is where this small savings bank story shines.</p><p><strong>Its M&amp;A window opens in just 12 months</strong>. This means that it could be aquired by a larger bank in as few as 12 months. There are several acquisitive banks in the area that could be interested in snatching FDSB.</p><p><strong>There is an activist involved</strong>. Stillwell, a well-known mutual savings conversions specialist, owns 1.5% of shares. Its influence will be helpul in bringing about a prompt sale.</p><p><strong>It is actively buying back shares</strong> (~5% of shares bought back over the past 12 months). </p><p>Better yet, an additional $18M in cash seems to be set aside at the holding company, ready to be deployed into buybacks. </p><p>At current prices, that would be enough to retire another 19% of shares.</p><p>As a quick aside, if you are wondering why this is a good thing, here is an example:</p><ul><li><p>If you pay $25M to buy half of a bank with $100M in book value and later the bank gets acquired for $100M, you make $25M (your $50M cut of the $100M sale price minus the $25M you paid). Not bad.</p></li><li><p>But if the bank first uses $25M of its book value to buy out all the other shareholders and then gets acquired for the remaining $75M, now you get to keep all the money and make $50M (the full $75M from the sale minus the $25M you paid).</p></li></ul><p>If that wasn&#8217;t very clear &#8212; sorry &#8212; the important thing to remember is that buybacks at prices below book value can be a very good thing.</p><h2>The Risks</h2><p>You knew this section was coming. There are a few risks worth mentioning. </p><p>Interest rates could go up. A big part of what we are buying is a portfolio of mortgage loans. If interest rates go up substantially, this portfolio could be worth a lot less. </p><p>After all, who would want to buy a mortgage loan from us if they can lend money to the government risk-free and make just as much?</p><p>To be more specific, if interest rates go up 2%, the entire 25% discount we are getting on the book value would be gone.</p><p>Another risk is that the acquisition drags out or never happens. This is not the end of the world, since it would give more time for the buybacks to play out.</p><p>In addition to these standard mutual savings conversion risks, we also need to worry about natural disasters. </p><p>All those mortgages are secured by real estate in a high-risk weather zone. A bad storm season could trigger substantial credit deterioration. </p><p>While this is a real concern, the bank&#8217;s balance sheet is extremely solid and could withstand a lot of stress.</p><h2>The Verdict</h2><p>I have invested in FDSB, so that tells you what I think about it. While I bought my shares around $15, I think it is still a compelling opportunity today.</p><p>Nevertheless, I wouldn&#8217;t invest more than 5% of my capital into this kind of business.</p><p>When other compelling opportunities are available, risks like natural disasters make it so that it is better to diversify.</p><p>What other compelling opportunities you ask? conversions (a.k.a. thift conversions). These are small, well-capitalized banks that often trade for a fraction of their real value.</p><p>Most end up getting acquired by a larger bank to the benefit of their managers &#8212; and if we play our cards right, to yours and mine as well.</p><p>While most mutual savings conversions will work out well when bought at the right price, these investments are not without risks.</p><p>Picking our spots will lead to better results.</p><h2>Survival Of The Thriftiest</h2><p>There are about 400 mutual savings banks in operation. Of these, about 40 are currently in different stages of their mutual-to-stock conversion journey.</p><p>Since I know I left you hanging in my first <a the Street</a></p><p>Today&#8217;s opportunity comes from a particularly fertile hunting ground for small investors: mutual savings conversions.</p><p>In the US, a mutual savings bank is a financial institution that is owned entirely by its depositors. Depositors often have no idea this is the case and don&#8217;t receive any benefit from their ownership, other than possibly cheaper lending rates.</p><p>Mutual savings banks can go through a mutual-to-stock conversion and become publicly traded stocks. Depositors can participate in this conversion by buying shares in the new publicly traded entity. They often pay $10 per share. Management can also participate and usually do so enthusiastically.</p><p>Now for the fun part.</p><p>Because all the money raised from depositors and management is added to the existing balance sheet of the company, by definition each share is worth a lot more than what was paid for it.</p><p>For example, say a mutual savings bank has $100M in <em>book value</em> &#8212; the value of all assets like loans and cash minus the value of all liabilities like deposits and debt &#8212; and is selling 10M shares to depositors at $10 each. This means the bank now has $200M in book value (the $100M it already had plus the $100M it just raised from selling shares). Divided by 10M shares, this means there are $20/share in book value.</p><p>But because depositors bought their shares for only $10, shares of the new publicly traded company often start trading closer to $10.</p><p><strong>That means you and I get to buy $20 for $10!</strong></p><p>It gets better. Because most of these mutual savings conversions get acquired by a bigger bank 4-5 years after going public &#8212; they are not allowed to sell themselves for the first 3 years &#8212; there is a built-in mechanism to realize our $20 value.</p><p>Sounds great, right? So why isn&#8217;t this newsletter called &#8216;The Mutual Savings Investor&#8217;?</p><h2>What&#8217;s That Smell?</h2><p>Just like a cheap house isn&#8217;t automatically a good buy, there are reasons why we can&#8217;t just go invest in a bunch of mutual savings conversions, sit back, and wait for the profits to come in.</p><p>There are a number of ways these can - and do - go wrong:</p><ul><li><p>Loans could go bad. Most of these are &#8220;boring&#8221; banks with a portfolio full of low-risk residential mortgages. However, in some cases, the loan book is loaded with commercial real state loans or other risky loans. One I researched recently specialized in lending to cannabis businesses.</p></li><li><p>Loan values could be overstated. For the same reason people that got a low-interest mortgage during COVID don&#8217;t want to sell their house now that rates are higher, those mortgage loans are worth less than what the banks paid for them.</p></li><li><p>The sale could take too long. Like Warren Buffet said, <em>&#8220;Time is the friend of the wonderful business, the enemy of the mediocre.&#8221;</em> These banks are usually underscale and ineficient. As a result, they tend to earn meager profits. We are usually not getting paid to wait.</p></li></ul><p>And then there is management. This is the big one. There are so many ways for management to mess up. They could go on an acquisition spree themselves instead of paving the way for a sale. They could expand aggressively into risky lending products. They could start paying themselves a fortune to the detriment of shareholders.</p><p>Mutual saving conversions can work out great, but we need to make sure we look into all these risks before we reach for the cash in the drawer.</p><p>Now that we know the rules of the game, let&#8217;s go bargain hunting!</p><h2>A Dollar For 75 Cents</h2><p>Gouverneur Savings and Loan Association (GOVB) is a New York-chartered savings and loan association founded in 1892 and headquartered in Gouverneur (St. Lawrence County, upstate New York).</p><p>GOVB checks most of the boxes of a solid mutual savings conversion investment:</p><ul><li><p>It&#8217;s trading at a 25% discount to its tangible book value. This means we&#8217;d expect a larger bank to pay at least 33% more than the current $19.65/share for the bank.</p></li><li><p>The sale could be announced as early as November, since it will have been three years from its October 2023 conversion.</p></li><li><p>There is a large, acquisitive bank heardquartered just 20 miles away from Governeur (CBSI).</p></li><li><p>The loan book looks healthy and is growing at a reasonable pace. Deposits look stable.</p></li><li><p>It&#8217;s modestly profitable and actively buying shares and paying dividends &#8212; we actually get paid to wait.</p></li></ul><p>If you think this all sounds very promising, that makes two of us. It really seems like there is only one structural flaw that could potentially collapse this entire opportunity&#8230;</p><p>Management.</p><h2>Cracks In The Keystone</h2><p>GOBV&#8217;s management&#8217;s past actions raises a few questions.</p><p>Back in September 2022, they paid $8.5M for Citizens Bank of Cape Vincent (CBCV). This was a lot of money for little Governeur Savings Bank, which had a book value of just ~$27M at the time. They bought it at a fat premium of ~2x CBCV&#8217;s book value and don&#8217;t seem to have gotten much of a return from this investment. Expenses grew dramatically, and net income actually fell after the acquisition. This sort of behavior is never a good sign.</p><p>While most of the current board directors were involved in this acquisition, the CEO responsible for it left in April 2023.</p><p>Which brings us to the current CEO.</p><p>Stephen M. Jefferies joined GOVB as CEO in September 2025. Jefferies arrived after ostensibly hitting it out of the park in his previous role as CEO of CB&amp;T West Georgia. Over his tenure, CB&amp;T leaned heavily into USDA and SBA lending. The bank grew like wildfire, and net income and non-interest income skyrocketed.</p><p>Jefferies may have been hired to run the same playbook that supercharged CB&amp;T&#8217;s growth. Under his leadership, GOVB has been working towards transitioning from its state-chartered thrift status into a federally supervised national bank, paving the way for a similar strategy. </p><p>The trouble is that the Georgia Department of Banking and Finance closed CB&amp;T on May 1<sup>st</sup> 2026 after the bank <a href="https://www.youtube.com/watch?v=BTDBV0CD8W0">went bust spectacularly</a>.</p><p>Jefferies departed CB&amp;T in April 2025. <span>By year-end 2025, noncurrent loans (90+ days past due or non-accrual) reached </span>10.15% of total loans<span> &#8212; vs. a 1.56% industry average. SBA/USDA </span>denied guarantee claims<span> on a large volume of loans, presumably because CB&amp;T had been cutting corners and origination procedures had not been followed. </span>This must have been going on while Jefferies was still at the helm<span>.</span></p><h2>Failing The Inspection</h2><p>At this point, I don&#8217;t know if Jefferies was complicit or simply incompetent. Who knows, he may have even acted as a whistleblower. Either way, personally I don&#8217;t feel comfortable entrusting my money to this CEO and to the same board that both hired him and endorsed the CBCV acquisition. I would rather save my capital for cleaner setups, <strong>like a different mutual savings conversion I will be posting about next week.</strong></p><p>I will nevertheless follow the situation closely and would seriously consider investing if leadership changes. run a quick thought experiment.</p><p>Imagine you are running a $10B hedge fund. You have your pick of the smartest, most ambitious analysts from the best schools, who are willing to work untold hours on any assignment of your choosing. Your headquarters sit at the heart of Wall St / The City / [Enter your preferred investing hub], and corporate executives and big-name investors are only a phone call away. You have an eight-figure IT budget and access to all the subscription services known to mankind. You have every conceivable advantage to beat the market. You are at the top of the food chain.</p><p>Or are you?</p><p>The phone rings. It's a hot tip from a fellow investor. The investment looks like a total no-brainer. There&#8217;s only one problem: you can only invest $1M. In case you need to brush up on 4th grade math (the only math we&#8217;ll use in this newsletter), that&#8217;d be 0.01% of your portfolio. It doesn&#8217;t move the needle, so you&#8217;ll have to pass.</p><p>The phone rings again. It&#8217;s another hot tip. Isn&#8217;t it great to sit at the top? There is a biotech company that you can buy for half of the cash on its balance sheet that is in the process of liquidating after its drug trial failed. Unfortunately, your biotech fund is not allowed to invest in companies that don&#8217;t have a drug going through trial. You&#8217;ll have to pass.</p><p>The phone rings yet again. This time it&#8217;s about a portfolio company getting acquired. Usually you like your investments getting acquired because the buyer pays a premium, but in this case, the premium is being paid in bonds. You run an equities (stocks)-only fund, so you&#8217;ll have to sell those bonds at fire-sale prices since you are not allowed to keep any bonds in the portfolio.</p><p>You get the picture.</p><p>Maybe size and might have their drawbacks. Maybe you are not at the top of the food chain after all. But if not you, then who?</p><h3>The Lynx Investor</h3><p>Lynx investors - like myself - are individuals who study the market and can take advantage of opportunities that the big firms with large capital simply can&#8217;t. </p><p>It turns out that being small and nimble has incredible advantages:</p><ul><li><p>There are 60K+ stocks trading worldwide, but only about 15K are large enough for our imaginary hedge fun manager to invest in them. The other 45K+? Those are our private hunting ground.</p></li><li><p>Most funds have &#8216;mandates&#8217; that restrict the kind of companies they can own (industry, minimum size, minimum daily trading volume, etc.). This means they are completely barred from certain opportunities. Better yet, when securities (stocks, bonds, warrants, etc.) outside of their mandate fall on their laps like in the example above, they are actually required to sell them at any price! And guess who will be waiting to pound on those sales? You guessed it, us.</p></li><li><p>Most fund managers are judged on their short-term performance relative to other funds or a broad-based index like the S&amp;P 500. A couple bad quarters can cost them their cushy jobs. They often can&#8217;t afford to patiently stalk the most promising opportunities like we can.</p></li></ul><p>The goal of this newsletter is to help you take advantage of your natural advantages as an individual investor. I will be looking far and wide and sharing my most promising finds with you. I will share both ideas I am investing in and ideas I discarded, as well as the reasons behind my decisions.</p><p>My hope is that together we will build a community. I am looking forward to engaging with you and challenging each other to become better investors.
